Sole proprietorship compliance: quick answer

Sole proprietorship compliance is the set of tax returns, GST filings, licences, registrations and records a sole proprietor must keep up. A proprietorship is not a separate legal entity and is not registered under the Companies Act, so there are no ROC annual filings, but tax and licence obligations apply fully to the owner.

  • Income tax: yearly return in the proprietor's own PAN, usually ITR-3 or ITR-4
  • GST: registration once turnover crosses the threshold, then periodic returns
  • Tax audit: required above prescribed turnover limits under Section 44AB
  • Licences: Shop and Establishment, trade licence, Udyam, FSSAI or IEC as applicable
  • Records: books of account and invoices kept as the law requires
  • Fee: professional fee plus any government fee; call free for a custom quote

What is compliance for a sole proprietorship?

A sole proprietorship is a business owned and run by one person. In law, the owner and the business are the same, so business income is taxed in the owner's hands and the owner carries unlimited personal liability for business debts and defaults.

That makes compliance lighter than for a company, but not optional. There is no ROC filing, AGM or mandatory audit by default. Instead, compliance centres on the income tax return, GST where applicable, TDS if you pay certain amounts, employee-related registrations and the licences your trade or state requires.

Missed deadlines still cost money through late fees, interest and notices, and they affect loans, tenders and marketplace accounts. For official forms and filing, use the Income Tax Department and GST Portal. To protect your brand name or logo, see our trademark registration online service.

Sole proprietorship compliance: frequently asked questions

Quick answers on sole proprietorship compliance in India.

What is sole proprietorship compliance?

It covers the tax returns, GST filings, licences, registrations and bookkeeping a sole proprietor must maintain. A proprietorship is not a separate legal entity, so the owner is personally responsible for these obligations.

Does a sole proprietorship need to file annual returns with the ROC?

No. A sole proprietorship is not registered under the Companies Act, so there is no ROC annual filing, AGM or board meeting. Its main yearly compliance is the income tax return, plus GST and licences where applicable.

Is GST registration mandatory for a sole proprietor?

It becomes mandatory when aggregate turnover crosses the prescribed threshold, generally Rs 40 lakh for goods and Rs 20 lakh for services, with lower limits in some states. Inter-state supply and selling through certain e-commerce platforms can require registration regardless of turnover.

Which income tax return form does a sole proprietor file?

Usually ITR-3 for business income, or ITR-4 if the proprietor opts for presumptive taxation under Section 44AD or 44ADA and is eligible. The right form depends on income sources and eligibility.

When is a tax audit required for a proprietorship?

Under Section 44AB, generally when business turnover exceeds Rs 1 crore, or Rs 10 crore if cash receipts and payments are within 5 percent. A tax audit can also apply if presumptive taxation is not followed and profit is below the prescribed rate. We confirm the current limits.

What is the due date for a sole proprietor's income tax return?

Generally 31 July of the assessment year for non-audit cases and 31 October for cases requiring a tax audit. Dates can be extended, so we confirm them each year.

What are the penalties for non-compliance?

A late income tax return attracts a fee under Section 234F and interest on unpaid tax. Late GST returns attract a per-day late fee and interest on unpaid tax. Persistent default can lead to notices, registration cancellation and recovery action.

Which licences does a sole proprietorship need?

It depends on the business and state. Common ones are a Shop and Establishment registration, trade licence, Udyam registration, FSSAI for food businesses and IEC for import and export.

Can I convert my proprietorship into a company or LLP later?

Yes. Many owners convert once the business grows or needs funding, to get limited liability. Tax registrations, licences and contracts need to be moved or updated, so plan the change with an expert.

How much does sole proprietorship compliance cost?

It depends on turnover, number of transactions, GST registration and pending periods. Government fees, where any apply, are separate from our professional fee, and we share an itemised quote after a free call.
