A company's name is part of its memorandum of association, so changing it is a formal amendment, not an administrative edit. Section 13 of the Companies Act, 2013 requires a special resolution and the Registrar's approval, and the rules prescribe how a new name is reserved and the forms to be filed.
The name must follow the naming rules. It cannot be identical or too similar to an existing company or LLP, cannot be undesirable or misleading, cannot resemble a registered trademark without the owner's right to use it, and must carry the correct suffix such as Private Limited or Limited. A Registrar can also direct a company to change a name that is found identical or similar to another.
A change of name does not affect the company's rights, obligations or legal proceedings, but every record in the old name has to be updated afterwards.
