What does it mean to change an LLP Agreement?

The LLP Agreement is the contract between the partners and the LLP. It sets out capital contributions, profit and loss sharing, the roles and powers of partners, how decisions are made and what happens when a partner exits. Over time, these terms stop matching how the business actually runs, and the agreement has to be amended.

A change can be a single-clause amendment, such as a new profit sharing ratio, or a full restated agreement that replaces the old one. Either way, the change must be documented in writing, signed by the partners as the agreement requires, stamped as per the state stamp law, and reported to the Registrar through Form 3 within 30 days. If the LLP has no agreement, the default rules in the First Schedule of the LLP Act apply until one is executed.

An LLP Agreement change is different from a change in the LLP's partners or its registered office, which are reported through separate forms. Often these happen together, for example when a partner retires and the profit sharing clause also changes, and both filings are needed.
