Changing the registered office in India means moving the official address of your company or LLP and updating it with the Registrar of Companies (ROC). The approvals and forms depend on how far you move: within the same city, to another ROC jurisdiction in the same state, or to another state.
Last updated: October 2026. Forms, fees and time limits can change, so we confirm the current position before filing.
The registered office is the address to which the ROC, tax authorities and other government bodies send official notices. Every company and LLP in India must have one at all times, and the address on record must be correct.
When you move, the change must be reported under the Companies Act, 2013 (or the LLP Act, 2008 for LLPs). A small shift within the same city is a simple intimation. A shift across ROC or state boundaries changes the company's jurisdiction and needs a special resolution, Memorandum alteration and Regional Director approval.
Notices sent to the old address that are never received can lead to missed compliance, penalties or even strike-off proceedings, so the record should be updated promptly. For forms, fees and the filing portal, visit the Ministry of Corporate Affairs website at mca.gov.in. If your brand is registered, also see our trademark registration online service to keep your brand address current.
Important limits and timelines every director should know.

You move inside the state but under another ROC jurisdiction.
The company changes its state of registration.
An LLP moves its official address.
The office moved but INC-22 was not filed on time.
Shifting along with GST, bank and licence changes.

Why directors file the change correctly and on time.
ROC and tax notices are delivered to the address you actually use.
The public record matches your real address, as the law requires.
Filing within the time limit avoids additional fees on the form.
Move to a state with better incentives, talent or a larger market.
Consistent records help during funding, audits and due diligence.
GST, PAN and licence changes follow easily once the ROC record is correct.
File from anywhere in India through the MCA portal.
From choosing the route to updating all records, here is how the change works online.
Timelines depend on the route, the authority's workload and any objections. Not to scale.
We compare the old and new address and confirm whether it is a local, in-state or state to state change.
We draft the board resolution, or the special resolution and notice of general meeting where members must approve.
We check the proof of address, the owner's NOC and authorisations for the new premises.
INC-22 is filed with attachments. For an ROC or state change, INC-23 goes to the Regional Director with the supporting documents.
Once the order is received, we file the order (INC-28) and the updated notice within the allowed time.
We give you a checklist to update PAN, GST, bank, licences, letterheads and website.
Keep these ready to avoid delays. Our expert will confirm the exact list for your route.
The total cost depends on the route, the number of filings and the company's authorised capital. It generally has three parts:
Paid to the MCA for each e-form and based on the company's capital. Late filing adds fees. The schedule can change, so we confirm the current fee before filing.
Our fee depends on whether the change is local, within the state or across states. Call free for a custom quote before you pay anything.
Newspaper notice, Memorandum alteration, stamp duty and licence updates are charged separately where they apply.

If your official address on record no longer matches where you operate, it is time to update it.
Shifted from a co-working or home address to a new office.

The old rent agreement or NOC has expired and the premises changed.
LLPs moving their official address must report it to the ROC.
Consolidating offices requires the registered address to be re-fixed.
If the office moved already, speak to us about filing INC-22 without further delay.
A quick view of how each route differs. Ask us which one applies to you.
| Route | When it applies | Approval | Main forms | Effort |
|---|---|---|---|---|
| Same city, town or village | Within the same local limits | Board resolution | INC-22 | Lowest |
| Within the state | To another ROC jurisdiction | Special resolution, Regional Director | INC-23, INC-22 | Moderate |
| State to state | To another state or union territory | Special resolution, Regional Director confirmation | INC-23, INC-28, INC-22 | Highest |
| LLP | LLP moves its address | Partners' consent | Form 15 | Low to moderate |
A clear route and complete documents prevent most delays.
The ROC filing is only the first step. Here is what to update next.
Check that the new registered office shows correctly on the MCA master data.
Update PAN, TAN and GST. A state change needs a fresh GST registration in the new state.
Update bank accounts, Udyam, Shops and Establishment and other licences.
Update letterheads, invoices, the website and the address on any registered trademark.
If your brand address also needs to change, see our trademark registration online service. For local support, see our pages for trademark registration in Dwarka and Jaipur.
Quick answers on changing the registered office in India.
It is the process of moving the official address of a company or LLP, which is recorded with the Registrar of Companies (ROC), to a new address and updating the public record.
Decide which route applies (same city, within the state or another state), pass the required board or shareholder resolution, arrange address proof for the new premises and file the prescribed e-form on the MCA portal, usually INC-22, or INC-23 where Regional Director approval is needed.
Form INC-22 is the notice of change of registered office. Shifting to another ROC jurisdiction or state also needs an application to the Regional Director in Form INC-23, and the order is filed with the ROC in Form INC-28. For LLPs, Form 15 is used.
INC-22 must generally be filed within 30 days of the change of registered office. Delay can attract additional fees, so file promptly.
Within the same city, town or village a board resolution is generally enough. Shifting outside the local limits, to another ROC jurisdiction or another state needs a special resolution passed by the members.
It takes longer than a local change because it needs a Memorandum alteration, newspaper notice, Regional Director approval and ROC filings. The timeline depends on the authority and on how quickly objections, if any, are resolved.
A certified board or shareholder resolution, proof of the new address such as a utility bill, a rent agreement or ownership document, a no-objection certificate from the owner and identity details of the authorised director.
The cost has a government fee that depends on the form and the company's authorised capital, plus a professional fee that depends on the route. State to state shifting costs more than a local change. We share an itemised quote after a free call.
Update PAN and TAN, GST registration, the bank account, Shops and Establishment or other licences, Udyam registration, the company website and letterheads, and the address on any registered trademark.
Yes. An LLP files Form 15 with the ROC for a change of registered office. If the shift is to another state, the LLP agreement must also be amended and additional filings are needed.
