What does it mean to add a designated partner?

A designated partner is a partner who takes responsibility for the LLP's legal compliance. Under the Limited Liability Partnership Act, 2008, every LLP must have at least two designated partners, who must be individuals, and at least one must be resident in India. Resident here means staying in India for not less than 120 days during the financial year.

You may need to add a designated partner when a partner leaves, when the LLP has fewer than two, when the only resident designated partner is moving abroad, or when you admit a new partner who will manage compliance. The person can be an existing partner who is now designated, or a new individual admitted as a partner and designated at the same time. If the partner is a company, it appoints an individual nominee.

The appointment must be recorded with the Registrar in Form 4, and where the partners or their terms change, the LLP Agreement is amended and filed in Form 3.
